Terms of Engagement

1. Agreement to Terms

These Terms of Engagement constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Cordova Marketing Inc. (“Cordova Marketing,” “we,” “us,” or “our”), concerning your access to and use of our website and services. By accessing our site or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

2. Intellectual Property Rights

Unless otherwise indicated in writing, all materials, branding, creative assets, and deliverables produced by Cordova Marketing remain our intellectual property until full payment has been received. Upon receipt of payment, ownership of final deliverables transfers to you, excluding underlying tools, templates, and methodologies that remain our proprietary property.

3. User Representations

By using our site and services, you represent and warrant that:

• All registration and consultation information you submit is accurate and true.
• You have the authority to enter into this agreement on behalf of your entity.
• You will not use our services for any unlawful or unauthorized purpose.
• You will provide timely access to necessary accounts, assets, and information required to perform the agreed services.

4. Services & Deliverables

The specific scope of services, deliverables, timelines, and fees for any engagement will be defined in a separate written agreement or statement of work. Marketing results, including but not limited to return on ad spend, conversion rates, and revenue growth, are influenced by factors outside our control, and we do not guarantee specific outcomes except where explicitly stated in writing.

5. Payment Terms

Fees and payment schedules will be outlined in your service agreement. Unless otherwise agreed, invoices are due upon receipt. Late payments may result in a pause of services and may be subject to late fees. Ad spend and third-party platform costs are separate from our service fees and are the responsibility of the client.

6. Prohibited Activities

You may not access or use our site to:

• Violate any applicable law, regulation, or third-party rights.
• Submit false or misleading information through our consultation forms.
• Attempt to gain unauthorized access to our systems or data.
• Interfere with the proper functioning of our website or services.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement, including business strategies, financial data, and marketing performance. This obligation survives the termination of any engagement.

8. Limitation of Liability

To the fullest extent permitted by law, Cordova Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our site or services. Our total liability for any claim arising from our services shall not exceed the fees paid by you to us in the three (3) months preceding the claim.

9. Termination

We may suspend or terminate your access to our site or services at any time, with or without cause, including for breach of these terms. Upon termination, your right to use our site and services will cease immediately. Provisions that by their nature should survive termination shall remain in effect.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Denver, Colorado.

11. Changes to These Terms

We reserve the right to revise these Terms of Engagement at any time. Updated terms will be posted on this page with a revised “Last updated” date. Your continued use of our site or services after changes are posted constitutes your acceptance of the revised terms.
